ARTICLES OF ASSOCIATION

OF

THE DELHI GOLF CLUB LIMITED

NEW DELHI

 

 

GENERAL

 

1.    The regulations contained in Table C of Schedule 1 of the Companies Act, 1956, shall apply to the Company, except in so far as they are varied or abrogated by the provisions made herein.

 

INTERPRETATION

 

2.         (1)

In these Articles :-

                            

(a)          "the Act" means the Companies Act, 1956.

(b)          "the Club" or "the Company" means The Delhi Golf Club Limited.

(c)          "the Seal" means the Common Seal of the Company.

(d)          The Members of the Committee shall occupy the same position as Directors in the Companies Act, 1956.

(e)          All references to Delhi in these Articles shall be held to apply to the State of Delhi.

(f)           The main 18 Hole Golf Course shall be called the 'Lodhi' Course and the short 9 Hole Golf Course, the 'Peacock' Course.

(g)          A Spouse exercising privileges in the Club shall be the wife/husband of a Permanent, Associate or a Tenure Member of the Club only as long as the later continues to be a Member of the Club : provided that only one person shall be treated as a Spouse as long as such Spouse remains legally wedded to the Member.

(h)          A Guest shall be a person of at least eight years of age, who is invited by and is accompanied by a Member of the Club as per Bye-Laws of the Club for guests.

 

(i)            A surviving spouse shall be the widow or widower of a member, other than a Tenure Member, at the time of the member’s demise.

 

(j)            A Senior Citizen of the Club shall be a Permanent or Associate Member of the Club who has attained the age of 65 years and has been a member of the Club for more than 15 years. This would be effective from 01 January 2011 and would not affect those who are already recognized as Senior Citizens before that date.

            (2.)

Unless the context otherwise requires, words or expressions contained in these regulations shall bear the same meaning as in the Companies Act, 1956 or any statutory modification thereof in force at the date at which these regulations become binding on the Company.
